Need of Document Management System (DMS)

Document Management or Enterprise Information Management is perhaps one of the most important of the enterprise solutions that will provide a solution to the various requirements of SOX. Several sections of SOX have a direct bearing on the manner in which the digital documents/records of the enterprise are created, reviewed, approved, stored, retrieved, transferred, and destroyed.

Knowledge Management: Document & Records Management

Estimates have been made calculating that a significantly large proportion (some say, more than 70%) of the documents owned by an enterprise are in digital format and might never be seen in hardcopy.

According to Gartner’s Editor in Chief James Lundy: Records management will become a top 10 issue for many CIOs in the coming year.

In the following, we will discuss the various sections of SOX that a document management solution might help in complying with.

SOX Sections:

Section 302: According to Section 302, the CEO and CFO have to personally certify the financial statements and disclosures made by the company on authenticity and accuracy. This requires a system in place that will make the CEO and the CFO confident that all the disclosures that the company makes are accurate and authentic. This can be done in two ways:

One is to trickle-down the responsibility of the CEO and the CFO to the lower management levels and in response bubble-up the sign-offs from the lower management levels on all documents that are inputs to the company filings.

Second is to design comprehensive business processes that produce the company filings. The business processes will be designed in a very rigorous manner to comply with all the provisions and proper implementation and training of all the personnel related to the business processes will be carried out and tested on a periodic basis. Further, the business processes themselves will be open to stringent internal audits that will be carried out from time to time.

One, or a combination of both these practices will go a long way towards ensuring proper compliance.

For both these options it is clear that a strong enterprise-wide document management system will provide the foundation on which the compliance will actually be carried out. In the first case, the sign-offs can be configured using a workflow module of the document management system. In the second case, the business process itself will be configured in the document management system and all the relevant supporting or input documents too will be part of the DMS and appropriate subordination and linking will be done between the official company filings and all the input documents to it.

As proof of the records supporting the final company financialsas filed or reportedit is important to archive all the emails, excel sheets, instant messages or other communications and documents that were exchanged which led to a final certified filing by the CEO and CFO. This will safeguard the CxO’s claim that all the financial reports are true to their knowledge and due diligence was carried out before certifying the reports.

Section 404: The CEO and CFO need to provide a report assessing and certifying that the “internal controls” have been assessed and are working fine or that there are weaknesses and appropriate action is being taken. Complying with this requirement is one of the most difficult parts of SOX and requires a whole slew of people, processes and technologies. However, DMS has an important role to play in this.

All the emails and attached documents in the chronological sequence will need to be archived for the purpose of proving that the internal controls are appropriate. Ideally, a workflow module will provide added assurance that the internal controls are implemented.

Section 103: requires storing the documents for a period of 7 years for audit companies. The company being audited would naturally want to replicate the documentation to guard against any discrepancy or miscommunication or mismanagement. Also another part of the act requires

Section 409: requires near-real-time reporting of all material eventswhether internal or external to the investors and the regulatory bodies. This can be accomplished by using a single enterprise-wide document management system with appropriate “alerts” and notifications and workflow configured according to the design of the compliance-based business processes. This system would make sure that all relevant information is immediately relayed to the top management (CEO and CFO) and the compliance committee and advisors with minimum delays and latency. DMS provides appropriate capabilities to the compliance advisors to provide a recommendation (within the stipulated time frame) linked to each alert and escalate the reports to the CxOs with the appropriate recommendations. The CxOs can then decide whether it merits disclosure under the compliance act based on recommendations of their Compliance Committee or Advisors.

Section 802: provides for criminal penlties for knowingly altering, destroying, concealing and other activities, such as introducing false records, related to impeding or influencing an ongoing or potentially upcoming investigation by a federal agency. This would call for holding all documents in a secure system where absolutely no one in the company can alter them once they are finalized. Also this calls for a formal document retention and destruction policy which is strictly adhered to (in fact, can be proven to be adhered to) and which involves making sure that no document which any investigating agency would require is being destroyed or deleted. Furhter, the act requires that as soon as the company comes to know about a potential investigation all documents pertaining or somehow germane to that investigation are immediately ordered indestructible to or unalterable by anyoneincluding the CxOs of the company. This makes it important to have a feature related to creat!

ing and accepting “alerts” from the legal department of the company about any ongoing or upcoming potential investigations and as a consequence immediate information “vaulting” of all related documents. This feature will ensure compliance with this particular section and save a potential prison term and a large monetary fine and of course loss of credibility.

This section has a strong bearing on a records or document management policy of a company. The company should develop a proper document management policy and adhere to it in a timely and rigorous manner. If this is not done, the company is exposed to severe costs and damage in terms of providing documents to hostile parties in “pre-trial discovery”the legal process of providing all relevant documents to the opposing party in a legal suit. It also exposes the company to accusations of hiding or destroying relevant documentsif done at a later stageeven before any legal proceedings are begun against the companya la Arthur Andersen’s Enron-related documents.

Document Management systems provide several benefits to the company. Since an IT system is a business process frozen in a particular software and hardware implementation, it proves that the particular business process is being consciously and diligently adhered to. In the worst case, this proves that the compliance is being followed in spirit. Now whether the compliance is being followed in form can be found out from the results of the particular system and also from the audits of it at various stages of the business process. The capability to follow an audit trail on all documents created or processed through it is extremely useful in executing compliance activities and also in proving compliance at a later stage. The capability to create workflows automatically creates auditable process paths.

The DMS also makes possible to access any documents at any point of time with relative ease. It also acts as a centralized repository of documents (both structured and unstructured). All publicly disclosed documents can be locked in the final form as images and can not be tampered with later on. These can be stored and deleted according to the schedules of various regulatory and compliance Acts of the Government. Document and information which is supposed to be for limited consumption at the top management level can also be strictly screened and internal controls on these can be enforced rigorously. At the appropriate time the documents can be “published”.

Whistleblower: For this section of the act, it is important that a document management system is provided to log all whistleblower communicationabsolutely securely where no unauthorized personnel may be able to access itand store all communications.

An indirect requirement for Document Management Systems in the enterprise is for the purpose of storing the documents related to enterprise compliance policies, their updates, amendments, the internal control policies of the company and other documents of a similar nature that help in proving the compliance process at the enterprise.

The company needs to make policies about the following aspects of documents:

  • Creation
  • Approvals
  • Publishing
  • Retention
  • Access
  • Distribution
  • Lifecycle

This policy will help in implementing the contradictory requirements of document retention for compliance purposes and document deletion for reducing the cost of document retention and improving operational efficiency.

Initial step is to define the document retention policy. The second step is to survey the existing document management systems in place in the enterprise and the third step is to create a proper document management system.

Have a centralized repository of documents.

Have a structured and hierarchical architecture

Have security & access control

*A Report Distribution System or Document Management & Workflow System will disburse this to the CEO and the CFO within the prescribed time-frame and allow them enough time to make their own final judgments about the situation.

Finally, a Public Information Distribution System should exist to quickly disburse this informationif judged important by the CEO & the CFOto the investors & other stakeholders or relevant authorities prescribed by SOX.

Internet Based Lease Accounting Software: Creating Operational Efficiency While Crunching Numbers

The leasing industry is yet to significantly harness the powers of the Internet. Despite the hype, the web enabling of the leasing process has been sporadic at best. While the industry has already taken to the Internet’s obvious convenience for credit scoring and front-end application processing, a larger and perhaps a more significant impact on productivity has yet to be realized. The advent of the lease life-cycle management model can realize this untapped potential for productivity and, if implemented well, can even directly enhance profitability. Online lease management and accounting software certainly has the makings of a paradigm shift in the lessor’s approach to the lease accounting software. More specifically, it holds enough promise to replace the client/server model just as the client/server model itself dethroned the main frame.

The Benefits of an Internet Model based Lease Management system
To implement, the Internet model is much simpler than its client/server based counterpart, demanding nothing more than a secure Internet server on which the lease accounting software and database reside. Each of the limitless number of computers accessing the server can run any operating system, be it Apple Macintosh or Windows 2000, with nothing more than access to the Internet. By inference, the type of Network and the leasing software’s compatibility to it no longer matters. Even the physical implementation of the network itself, in laying down the wiring and connections, becomes redundant when any authorized computer belonging to any authorized user, is part of the virtual network. In this respect, especially for lessors with multiple operations in different locations, the model used in the lease management software is a boon that takes no more significant effort to tie two computers into its virtual network as it does 2,000. If so, you may have wondered what exactly Flash is. Flash is not a new technology, but it is still used in many different ways on the Internet today.

Flash can refer to Macromedia Flash player, and to refer to the program used to create Flash content. Some may wonder what exactly Flash does. Flash is a program that is used to create games and movies that can be put on the Internet. Interactive web sites are also made with Flash. Most web browsers support Macromedia Flash. Flash supports vectors, raster graphics, and ActionScript, which is a scripting language. Finally, Flash can stream audio and video at the same time.

Flash was first introduced in 1996. At that time, most browsers did not have Flash capabilities. However, the amount of browsers with Flash compatibility rose dramatically in a very short amount of time. Businesses started to pay web designers to design sites utilizing Flash. Flash is frequently used with web pages to make them more interactive and even more professional in some cases. Some web pages have animated flash introductions. Payroll New Hampshire, Unique Aspects of New Hampshire Payroll Law and Practice

New Hampshire has no State Income Tax. There for there is no State Agency to oversee withholding deposits and reports. There are no State W2’s to file, no supplement wage withholding rates and no State W2’s to file.

Not all states allow salary reductions made under Section 125 cafeteria plans or 401(k) to be treated in the same manner as the IRS code allows. In New Hampshire cafeteria plans are taxable for unemployment insurance purposes. 401(k) plan deferrals are taxable unemployment purposes.

In New Hampshire supplemental wages are required to be aggregated for the state income tax withholding calculation.

The State of New Hampshire taxable wage base for unemployment purposes is wages up to $8000.00.

New Hampshire requires Magnetic media reporting of quarterly wage reporting if the employer has at least 250 employees that they are reporting that quarter.

Unemployment records must be retained in New Hampshire for a minimum period of six years. This information generally includes: name; social security number; dates of hire, rehire and termination; wages by period; payroll pay periods and pay dates; date and circumstances of termination.

The minimum wage in New Hampshire is $5.15 per hour.

The general provision in New Hampshire concerning paying overtime in a non-FLSA covered employer is one and one half times regular rate after 40-hour week.

New Hampshire State new hire reporting requirements are that every employer must report every new hire and rehire and contractors over $2,500. The employer must report the federally required elements of:

  • Employee’s name
  • Employee’s UI ID
  • Employee’s address
  • Employee’s social security number
  • Employer’s name
  • Employers address
  • Employer’s Federal Employer Identification Number (EIN)

This information must be reported within 20 days of the hiring or rehiring.
The information can be sent as a W4 or equivalent by mail, fax or electronically.
There is a $25.00 penalty for a late report in and $500 for conspiracy in New Hampshire.

New Hampshire does not allow compulsory direct deposit

New Hampshire requires the following information on an employee’s pay stub:

  • statement of deductions
  • New Hampshire requires that employee be paid no less often than weekly; biweekly, semimonthly, or monthly if commissioner agrees.

    New Hampshire requires that the lag time between the end of the pay period and the payment of wages to the employee not exceed eight days after workweek when wages are earned.

    New Hampshire payroll law requires that involuntarily terminated employees must be paid their final pay with in 72 hours; next regular payday if suspended due to labor dispute or temporarily laid off. Voluntarily terminated employees must be paid their final pay by the next regular payday or by mail if employee requests it; within 72 hours if 1 pay period’s notice is given.

    Deceased employee’s wages of $500 must be paid to the surviving spouse; adult children; parent; siblings; funeral expenses (in that order).

    Escheat laws in New Hampshire require that unclaimed wages be paid over to the state after one year.

    The employer is further required in New Hampshire to keep a record of the wages abandoned and turned over to the state for a period of 10 years.

    New Hampshire payroll law mandates no more than $2.77 may be used as a tip credit.

    In New Hampshire the payroll laws covering mandatory rest or meal breaks are only that must have 30 minutes rest after five hours of work.

    There is no provision in New Hampshire law concerning record retention of wage and hour records therefor it is probably wise to follow FLSA guidelines.

    Know The Enemy Surveillance Spyware

    Have you ever read best sellers on the cold war and spies? Many of us have grown up on the thrills and chills presented by such novels where spies are watching everything and are in the know of every action or step taken by important people.

    The cyber world too has such spies and, among the many kinds is surveillance software. These are designed to surreptitiously monitor a person’s activities. It can, not only record keystrokes and log the content of emails but even take screenshots of what is displayed on the monitor.

    Surveillance software can be used to monitor a person and steal passwords and other sensitive information like financial transactions and confidential matters pertaining to business deals. Computers are most vulnerable when used online.

    Key logger programs include SpectorSoft’s Spector Pro and EBlaster, XPCSpy, and Omnisquad’s Desktop Surveillance Personal edition. Programs like these abound and they are used to spy on you without your knowledge or consent. In many states an employer or spouse is legally entitled to use these.

    In fact, in the US many employers are using surveillance spyware to monitor their employees. Even the government has been using technology to track criminals and to spy into private communications. Surveys indicate that spyware, adware, and other malicious programs are costing victims billions of dollars every year. To fight the menace a coalition “Stop Badware Coalition” of tech companies and consumer groups has formed to stop misdeeds by companies who produce software that spies. Fighting the cause are giants like Google, Lenovo, Sun Microsystems, Berkman Center, Vint Cerf, and Esther Dyson.

    Cleverly designed, most anti-spyware programs cannot detect or disable surveillance spyware efficiently. And, spywares are being improved as we speak. You can only attempt to create your own protective fortress by using multiple anti-spyware tools. For example a good workable combination according to PCworld would be Ad-ware, spybot, Pestpatrol, and Spysweeper.

    You need to think like a spy to catch the surveillance software. Try and uncover the program and then disable or uninstall it. Many emerge on using specific keystroke sequences like “CTrl-ALT-Shift-S.” Very often, the installer or the spyware may have altered the sequence but a bit of doggedness on your part will help you unravel the code. Please do close every application include those running in the systems tray before trying to work the magic.

    If you are a bit tech savvy you can discover plenty of useful information on blogs and discussion forums. Sadly, often spyware is password protected and you will not be able to disable the software.

    Your safest bet is to avoid downloading software, and use strict log on security offered by operating systems. Always use unusual passwords and make it a point to change them often. You must:

    • Use a hardware router.
    • Set up firewalls both hardware and software.
    • Use comfortable security settings—never lower than medium.
    • Never comply to return e-mail receipt requests.

    Stay one step ahead and follow the rules of protecting your PC and sanity.

    Anyone Can Design Their Own Software

    Chuck, decided to start a bus route, with a brand new bus, so he ordered a bus from the distributors of Volvo. When it was delivered he was dismayed to find that, although it had a chassis, an engine, a driver’s seat and steering wheel, there was little else. All the “soft options” were missing. He called the distributor who advised that that was the way it was. Chuck had to build his own body, install seats and all the rest of it. And, as he didn’t have a license to drive a bus, he would have to employ a driver.

    What’s this got to do with computers and software?

    A great deal!

    You see a computer is a piece of machinery, just like an engine. You can go out and buy the most expensive, most powerful automobile in the world, but without the soft options and a driver it won’t go anywhere. The same with a computer. The world’s most powerful and expensive computers, in business, government or the military are, without the software and the drivers, just

    USELESS PIECES OF EXPENSIVE JUNK

    It is not by accident that Bill gates is one of the two richest men in the world. As a young man he recognized the future of home computers and realized they would all need user friendly software to make them work. He fill that need with Microsoft’s MS Dos, then Windows and other software programs.

    Microsoft software, is not, to be frank, the best software in the world, but it is by far the most popular and usually the most affordable. And because it is used on most PC’s around the world, it is almost obligatory to install it on your own computer, to enable exchange of documents and communicate with others.

    Linux is reputed to be a better, more robust operating system than MS Windows, but few people use it because there are relatively few software programs compatible with it, and it takes some time to learn how to use it. And yet there is a free version. There are office suites (similar to MS Office) available on the internet free, there are programs better than MS Powerpoint (IMHO), but MS products are so entrenched in computerland that few people look beyond them unless they can’t get what they need from Microsoft.

    Why can’t they get them from Microsoft?

    MS only makes popular software that will be used by millions of people. They spend millions of dollars to develop a program, then sell millions of copies of it. A flower breeder wanting specialized software to assist him breed roses, for instance, can forget about Microsoft. They don’t have it and they are not interested in developing it. Not for the price the flower breeder could pay, anyway. There’s just not enough demand for it. No demand, no profit. No profit, no MS.

    So, what can you do if you need a specialized program? Don’t give up hope yet. There are many software developers in the world who are developing niche software programs. You may find what you are looking for already available in your local computer store or, more likely, instantly available for download on the internet. If it’s not available, you can design your own. Yes, you can do that.

    There are software designers available who will take your instructions concerning what you want your software to do and design your program for you. Designing and producing software can be likened to building a ship. This designer can be likened to the naval architect who takes instructions from the intended owner and draws up the blueprints for the ship. The architect needs to know a lot about the ship, what it will be used for (cruise ship, warship, cargo ship etc) and its size, capacity, functions and a whole lot more. Your software designer will need to get all this from you, exactly what you want the software to do, its functions, its capacity, its foundation (operating system) and every minute detail of what you require it to do.

    Once the blueprint is completed to your satisfaction, your “ship” needs to be built, and this will be done by a programmer, who writes the code. Once the programmer has completed building the “ship,” everything needs to be tested, every little function must be tested over and over to make sure “portholes open and close, doors do the same, the engines work” and so on. In most cases, this requires a few trips back to the programmer to get bugs removed, until it is finally done. Now, once this has been satisfied, the ship will go on a “shakedown” cruise to test all the functions under operating conditions. In computer software, this is beta testing, where the software is handed to a number of testers who put it through rigorous testing to make sure that it works, works well and is robust enough to suffer a little over use or misuse.

    When that’s all done, your software is ready for your use. You now own the world’s only copy of your special software.

    Phew! That has taken a lot of time (several months most likely) and a lot of dollars. It may have taken 6 months to a year and cost you upwards of $50,000.00. Has it been worth the wait and the cost? Could you have gotten an existing program and had it adapted to your use? Was there a suitable program lurking out there that you did not find? Was there a way to cut the waiting time and cost? Is there a way to reduce the overall cost?

    If you can join with hundreds, or thousands of others, in purchasing existing software, or sharing the costs of having special software designed and built, you can reduce the costs remarkably. This is called shareware and it is what you buy from Microsoft, Adobe and other software companies.

    But can you do this with low demand software? Yes you can. You can buy accounting software, medical practise software, engineering software and many other kinds of software. Talk to people in your line of business and someone will know where to get specialized software that may help you.
